These terms of use govern your access to and use of clinkinnovations.com and any page, document or download made available on it (the “Site”), and any quotation, order or correspondence between you and Clink Innovations Inc. (“Clink”, “we”, “us”). By using the Site or requesting a quotation, you agree to be bound by these terms. If you do not agree, please do not use the Site.
These terms apply in addition to any written quotation, order confirmation or sales agreement we issue. Where a signed agreement conflicts with these terms, that agreement prevails.
Changes to these terms
We may update these terms from time to time. The “last updated” date at the top of this page always shows the version in force. Continuing to use the Site after a change means you agree to be bound by the updated terms. The date at the top of this page is restated whenever we do.
Who may use the Site
You must be able to form a binding contract in your province or territory of residence to buy from us. Quotations given through the Site are indicative only until confirmed in writing.
Permitted use
You may view, download and print pages from the Site for your own information or to evaluate our products. Any other use — in particular reproducing our text, photography or drawings on another website or in a sales document — needs our written permission.
Prohibited use
You must not: attempt to gain unauthorised access to any part of the Site or to a system behind it; introduce anything harmful, including malware or automated scraping tools that degrade the service; misrepresent your identity or your authority to bind a business; or use the Site to send unsolicited commercial messages.
Quotations, pricing and availability
Prices shown on the Site are in Canadian dollars unless stated otherwise, exclude taxes, shipping and installation, and may change without notice. A quotation is an invitation to treat, not an offer, until we confirm it in writing against your site details. Lead times are estimates and are not a contractual delivery date unless we agree one in writing.
Orders and cancellation
An order is accepted when we issue a written order confirmation. If you are a consumer buying at a distance, you may have a statutory right to cancel within the period set out in the Consumer Protection Act, 2002 (Ontario) or equivalent legislation in your province; nothing in these terms reduces that right.
Installation and electrical work
Our charging hardware must be installed by a licensed electrical contractor in accordance with the current edition of the Ontario Electrical Safety Code (or the code in force where the equipment is installed) and with any permit or inspection the authority having jurisdiction requires. We do not perform electrical work, and we are not responsible for an installation carried out by others.
Intellectual property
The Site, our product names, drawings, photography and written material are owned by us or licensed to us. “NorthernLit” and the Clink name and logo are ours. Nothing on the Site grants you a license to use them beyond viewing the page.
Material you send us
If you send us photographs, drawings, load data or other material, you confirm you have the right to share it and you grant us a license to use it for the purpose you sent it for — normally to prepare a quotation or support a claim.
Links to other sites
We link to government program pages, utilities and other sources for your convenience. We do not control them and are not responsible for their content or for their availability.
Information on the Site
We work to keep the Site accurate and dated, particularly amounts and deadlines in our incentives material. Even so, the Site is general information. It is not engineering advice for your property, not financial or tax advice, and not a guarantee that any rebate or program applies to you. Confirm anything that affects a purchase decision with the program administrator or with your own adviser.
Disclaimer of warranties
The Site is provided “as is”. To the maximum extent permitted by applicable law, we disclaim all warranties, conditions and representations about the Site, including that it will be uninterrupted, error-free or free of anything harmful.
Limitation of liability
To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profit, lost revenue or lost data, arising from your use of the Site. Where we are found liable to you in connection with the Site, our total liability is limited to CAD $100.
Nothing here limits a right or remedy you have under the Consumer Protection Act, 2002, the Sale of Goods Act, or any other law that does not allow it to be limited. Product warranty claims are governed by our Warranty & Sales Terms, not by this clause.
Indemnity
You agree to indemnify us against claims arising from your breach of these terms or from material you send us, except to the extent caused by our own negligence.
Suspension and termination
We may suspend or end access to the Site, or decline to quote or supply, where we reasonably believe these terms have been breached or where continuing would be unlawful.
Privacy
How we handle personal information is described in our Privacy Policy, which forms part of these terms.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. The courts of Ontario have exclusive jurisdiction over any dispute arising from them, without preventing us from seeking urgent relief where the equipment or a claim is located.
General
If a provision is held unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor of the business. These terms, together with any written quotation or agreement and our Privacy Policy, are the whole of our agreement about the Site.
